Your platform is part of the deal

When you list your newsletter for sale, the buyer isn't just buying the list. They're buying the platform it runs on (most times), with everything that comes with it. Most sellers underweight this, and it shows up in the offer.

Here's what buyers actually check when they look at your platform:

  • How portable the subscribers are. Some platforms make it easy to migrate to a new owner. Others make it hard, especially when paid subscriptions are involved. The harder the transfer, the more risk the buyer is taking.

  • Whether the billing data transfers cleanly. If your newsletter has paid subscribers, can the buyer see, manage, and renew those subscriptions without losing them? This is where some platform-to-platform migrations get tricky.

  • What native features come with the asset. A modern platform brings sponsorship tools, automations, and audience segments built in. A custom-built ESP often means the buyer has to rebuild half the operation from scratch.

  • How modern the platform looks to the next operator. Buyers buy what they can imagine running. A platform that feels dated or limited makes them hesitate, even when the newsletter itself is healthy.

A few honest reads on the most common platforms:

  • Beehiiv: clean migration, sponsorship-native, modern features. Easy to buy and operate.

  • Substack: great for writers, harder for buyers. Paid subscribers are not as portable as people assume.

  • Kit: clean handoff, automation-friendly, popular with course and product sellers.

  • Mailchimp: transferable but feels old to most newsletter-native buyers.

  • Custom ESP: can be a deal-killer unless the team is exceptional and stays on.

A clean export, a documentation file on how the newsletter is built, and a willingness to support the new owner through the migration. A bootstrapped newsletter just got valued at $101M

This month, 1440 Media was valued at $101 million by a third-party investment bank.

The daily news email started with 78 subscribers in 2017 and now reaches nearly 5 million. They've never raised venture capital. They run with 27 employees, every one of them holding equity, and the company is currently paying dividends.

The valuation is 4x annual revenue, higher than the 3.8x multiple Morning Brew sold at.
